Mishmish Cover Partner Agreement

Mishmish Cover Partner Agreement

Mishmish Cover Partner Agreement

Version 1.1. Draft for legal review. Not yet in force.

AT A GLANCE

£25 per qualified cat

Fixed, paid once per cat, and the same for every partner.

Paid on the 1st

By bank transfer, for balances of £50 or more, to a UK account in your own name.

90-day link

Your link sets a 90-day cookie. A code typed at checkout beats the cookie.

14 days’ notice

Either side can end it with 14 days’ notice. Commission you have earned is still paid.

A summary only. The agreement below is what counts.

This agreement is between:

  1. Mishmish Operations Ltd, company number [to be added], registered office [to be added], which runs Mishmish Cover for its members (“we”, “us”, “our”); and

  2. The Partner named in the partner application we approved (“you”, “your”).

It is governed by the law of England and Wales.

1. What this agreement is

1.1 You tell people about Mishmish Cover using the partner link and partner code we give you. We pay you £25 for every qualified cat that joins through them.

1.2 This agreement is written in plain English on purpose. Where it says we “may” do something, we decide whether to do it.

1.3 It starts on the day we approve your application and send you your link and code, or the day you accept these terms at partner sign-up, whichever is earlier.

2. The commission

2.1 We pay £25 for each qualified cat. The amount is fixed, paid once per cat, and the same for every partner. There are no tiers, no renewal commission, no bonuses and no content quotas.

2.2 A cat is qualified when all of the following are true:

  • (a) the owner joined through your link or entered your code at checkout;

  • (b) the owner has paid their first contribution;

  • (c) 14 days have passed since that first payment (the cooling-off period) without the membership being cancelled;

  • (d) the payment has not been refunded or charged back; and

  • (e) the sign-up is bona fide, as determined by us.

2.3 The following never count as qualified: your own cats or any membership you or your household pay for; a duplicate of an existing member or cat; a membership opened to take the free month and then cancelled; and anything we do not consider to be a real, ongoing membership.

2.4 Commission is per cat, not per owner. Two cats joined by one owner through your link are two qualified cats.

2.5 Commission is in pounds sterling. It does not include VAT unless you tell us in writing that you are VAT-registered, in which case clause 10 applies.

3. Attribution

3.1 Your partner link sets a cookie that lasts 90 days. A membership started within that time is attributed to you.

3.2 If a member types a partner code at checkout, that code decides who is credited, even if a different partner’s cookie is present.

3.3 Attribution is recorded by our tracking provider (currently Rewardful). Its record is final unless we agree in writing that it is wrong.

3.4 A member who pays a year up front with a partner code receives one month free. This does not change your commission.

4. Reversals

4.1 If a member’s payment is refunded or charged back, the commission for that cat is reversed.

4.2 If we have already paid that commission, we deduct it from your next payout. If no further payout is due, we may ask you to repay it and you agree to do so within 30 days of our request.

5. When and how we pay

5.1 We pay on the 1st of each month, for balances of £50 or more at the end of the previous month. Balances under £50 roll over to the next month.

5.2 Payment is by bank transfer only, to a UK bank account in your own name. We do not pay to anyone else’s account, to a business account in a different name, or to a card, wallet or other service.

5.3 Before the first payout we ask for your bank details and check that the account holder name matches the name on your application.

5.4 Your partner dashboard shows the cats that are pending and qualified. It is the record of what is owed.

6. Your two rules

These two rules are binding obligations. Breaking either of them is a breach of this agreement.

6.1 Say cover, never insurance. Say may help, never guaranteed or will pay. Mishmish Cover is a mutual fund owned by its members. Help with vet bills comes from the Fund’s discretion, not from a contract. You must not describe Mishmish Cover as insurance, a policy, a premium or a payout, and you must not tell anyone that the Fund is guaranteed to help or will pay a bill.

6.2 Only real members count. You must not refer yourself or your household, run or encourage “join for the free month and cancel” schemes, offer cashback or other inducements, buy traffic to your link, or post your code on coupon or voucher sites.

6.3 Advertising labels are your call. You know the CAP Code, the Advertising Standards Authority’s guidance and your own platforms far better than we do, so how you identify paid content is for you to decide and remains your responsibility.

7. What you say about us

7.1 You must not say or imply that Mishmish Cover is regulated by the Financial Conduct Authority, certified by any religious body, or endorsed by anyone, unless we have confirmed it in writing.

7.2 You may use the Mishmish Cover name and the assets we provide only while this agreement is running and only to promote membership. We keep all rights in them.

7.3 We do not list partner names, logos or photos on our website, and you must not suggest that we do.

8. Suspension and removal

8.1 We may suspend or remove you from the programme at any time, with immediate effect, if you break rule 6.1 or 6.2, or if we reasonably think your promotion could mislead people or harm Mishmish Cover’s name.

8.2 If we remove you for a breach of the vocabulary rule (6.1), we may withhold any commission not yet paid, including commission on cats that have already qualified.

8.3 If we remove you for any other reason, commission you have earned is paid on the normal schedule.

9. Your status and your tax

9.1 You are self-employed. Nothing in this agreement makes you our employee, worker, agent or representative, and you cannot make promises or enter into anything on our behalf.

9.2 You are responsible for your own tax and National Insurance on commission we pay you. We report payments to HM Revenue and Customs where the law requires it.

10. Self-billing

10.1 This clause is a self-billing agreement in the form set out in HMRC VAT Notice 700/62. It covers all commission we pay you under this agreement.

10.2 We, the self-biller, agree:

  • (a) to issue self-billed invoices for all supplies made to us by you under this agreement until this agreement ends, and to review this arrangement at least every 12 months;

  • (b) to complete self-billed invoices showing your name, address and VAT registration number (if you have one), together with all the other details which constitute a full VAT invoice;

  • (c) to make a new self-billing agreement in the event that your VAT registration number changes; and

  • (d) to inform you if the issue of self-billed invoices will be outsourced to a third party.

10.3 You, the self-billee, agree:

  • (a) to accept invoices raised by us on your behalf until this agreement ends;

  • (b) not to raise sales invoices for the transactions covered by this agreement; and

  • (c) to notify us immediately if you change your VAT registration number, cease to be VAT-registered, or sell your business or part of your business.

10.4 The self-billed invoice is the statement we email you with each payout. If you are not VAT-registered, the statement shows no VAT.

11. No exclusivity

11.1 Nothing in this agreement stops you working with anyone else, and nothing stops us working with other partners.

12. Ending this agreement

12.1 Either of us may end this agreement by giving the other 14 days’ written notice. Email is enough.

12.2 Commission earned up to the end date is still paid on the normal schedule, subject to clauses 4 and 8.2. A cat that joined before the end date and qualifies after it still counts.

12.3 When the agreement ends you must stop using your link, your code and our assets, and remove them from anything you control within 14 days.

13. Data

13.1 We share aggregate numbers with you: how many cats are pending, how many have qualified, and what you have earned. We never share member names, contact details or cat details.

13.2 We hold your name, contact details and bank details to run the programme and to pay you, as described in our Privacy notice.

13.3 You must not collect members’ personal details on our behalf or ask people to send them to you.

14. Changes to the programme

14.1 We may change the programme, including the commission for cats that join in future, by giving you 14 days’ notice by email. A change never reduces commission on a cat that has already qualified.

15. Liability

15.1 Our total liability to you under this agreement is limited to the commission owed to you at the time.

15.2 Nothing in this agreement limits liability for fraud or for anything the law does not allow us to limit.

16. General

16.1 This is the whole agreement between us about the partner programme. It replaces anything said or written before it.

16.2 You may not transfer this agreement or any commission to anyone else.

16.3 Notices are sent by email, to the address on your application and to hello@mishmishcover.com for us.

16.4 This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Mishmish Cover is not an insurance company. The benefits of membership are discretionary and are subject to the Rules.

This agreement is between:

  1. Mishmish Operations Ltd, company number [to be added], registered office [to be added], which runs Mishmish Cover for its members (“we”, “us”, “our”); and
